SEC Requirement

Documents required for Corporations and Partnerships for Primary Registration
•All applications and supporting documents must be in four (4) copies and A4 size bond paper with a cover sheet.
•Consulate all documents in the country were signed or authenticated by the Philippine Embassy if signed abroad.
•Certified Audited Financial Statements and Special Audit Reports by an independent Certified Public Accountant (CPA), filed SEC Statement of Representation. Indicated CPA Cert. No., PRC/BOA No. and the PTR No. of the CPA and SEC accreditation of External Auditor if applicable.
•Indicate Tax Identification Number (TIN) for all applications of the incorporators, directors/trustees, stockholders/members for corporations, and partners for partnerships.
•Instead of TIN for registration of a corporation/partnership,   indicated passport numbers are also allowed for Foreign investors.
Documents required for Stock Corporations and Partnerships
Basic Requirements 


Secured Name Verification Slip via online or at SEC Name Verification Unit 
 Articles of Incorporation (AI) and By-laws (BL) 
 Treasurer’s Affidavit 
 Joint affidavit of two incorporates to change the corporate name (not required if already stated in AI)


Additional Requirements 
 Endorsement/clearance from other government agencies, if applicable 
 Related clearance from Department of the Commission* 
 For Corporations with more than 40% foreign equity: Application Form for registration under the Foreign Investments Act of 1991 (R.A. 7042, as amended) 
 Endorsement/clearance from: (a) Philippine Economic Zone Authority (PEZA) for the applicant under R.A. 7916, (b) Subic Bay Metropolitan Authority (SBMA) or Clark Development Corporation (CDC) for the applicant under R.A. 7227 and (c) Cagayan Economic Zone Authority (CEZA) for applicant under R.A. 7922
Documents required for Non-Stock Corporations
Basic Requirements 

 Secured Name Verification Slip via online or at SEC Name Verification Unit 
 Articles of Incorporation (AI) and By-laws (BL) 
 Treasurer’s Affidavit 
 Joint affidavit of two incorporates to change the corporate name (not required if already stated in AI)

 Notarized proof of Inward remittance
*Affidavit of undertaking to Change of Corporate name (If required)
Documents required for Partnership
Basic Requirements 

1. Name Verification Slip 
2. Articles of Partnership (AP)
3. Joint affidavit of two partners to change the partnership name. (not required if already stated in AP) 

Additional requirements 

1. Endorsement/clearance from other government agencies, if applicable 
2. For partnership with foreign national as partner a) FIA Form - 105
